Terms of Service
Welcome to Talk Machine! These Terms of Service ("Terms") outline your rights and responsibilities when using our mobile application, website, services, and related features (collectively, the "Services"). Please read them carefully.
By using Talk Machine, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. About Us
Talk Machine Ltd is a company registered in England and Wales under company number 16133429, with its registered office at 3rd Floor, 86-90 Paul Street, London, EC2A 4NE, United Kingdom ("Talk Machine", "we", "us", or "our").
We provide a mobile communications platform that allows Users to send voice messages, text messages, and engage in chat-based interactions. Some of our features use AI and large language models ("LLMs") to enhance your experience (e.g., message suggestions, chat summaries, or voice synthesis).
2. Who Can Use Talk Machine
You must be 16 years or older to use our Services. By using Talk Machine, you confirm that you meet this requirement.
You're responsible for your account, your device, and for keeping your login credentials secure. If you think your account has been compromised, contact us right away at contact@talkmachine.com.
3. Your Content and Usage
You retain full ownership of the content you submit, send, or create using the Services ("User Content"). That includes your text, voice notes, and anything else you upload or generate.
However, you grant Talk Machine a limited, non-exclusive, royalty-free, worldwide license to use, store, host, and process your User Content solely to provide and improve the Services.
Please make sure your content does not:
- Violate any laws or third-party rights (including intellectual property);
- Contain illegal, harmful, or abusive material;
- Use or attempt to reverse-engineer our systems, models, or algorithms.
You're responsible for what you share. We reserve the right (but not the obligation) to review or remove content that violates these Terms.
4. Intellectual Property
All Talk Machine trademarks, logos, branding, source code, AI systems, designs, and content (excluding User Content) are the exclusive property of Talk Machine Ltd or its licensors.
You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code, unless laws prohibit these restrictions or you have our written permission.
Using Talk Machine does not give you ownership of any of our intellectual property.
5. AI and Large Language Model Use
Some features in Talk Machine are powered by artificial intelligence and large language models ("LLMs"), including speech-to-text transcription, text translation, message summarisation, and voice synthesis. These tools are provided for convenience, creativity, and productivity. To deliver these features, Talk Machine shares certain user data with the following third-party AI service providers:
- OpenAI (https://openai.com)
- Google Cloud AI (https://cloud.google.com)
- ElevenLabs (https://elevenlabs.io)
Data shared with these providers may include voice recordings, transcribed text, translated text, and conversation metadata. Data is shared solely for the purpose of delivering Talk Machine's features to you. We do not sell, license, or otherwise commercially share your personal data with any third-party AI service provider.
Under their respective API terms, these providers do not use data submitted via their APIs to train their AI models. For full details on what data is shared with each provider and how it is protected, please see Section 5.2 of our Privacy Policy (talkmachine.com/legal/privacy).
By using AI-powered features, you understand and agree that:
(a) Outputs are generated by automated systems and may not always be accurate, complete, or appropriate. AI-generated transcriptions, translations, and summaries may contain errors. You are responsible for reviewing and verifying any AI-generated content before relying on it.
(b) You should not rely on AI-generated outputs for legal, medical, financial, or other critical decisions.
(c) You must not use AI-powered features to create, distribute, or share content that is harmful, misleading, defamatory, or offensive, or that violates any applicable law or third-party rights.
6. Privacy and Data
We take your privacy seriously. Please read our Privacy Policy (talkmachine.com/legal/privacy) for full details on how we collect, use, and protect your data.
By using Talk Machine, you consent to the collection and use of your data in accordance with our Privacy Policy.
The Company shall implement appropriate technical and organizational measures to protect User Data and Personal Information against unauthorized or unlawful processing, accidental loss, destruction, or damage.
We maintain incident response and breach notification procedures to address any security incidents or data breaches involving User Data or Personal Information.
We also maintain appropriate records and documentation to demonstrate compliance with our data protection obligations and will cooperate with any audits or inspections by relevant authorities or third parties to verify compliance with data protection laws and this Agreement.
We retain your personal data only for as long as necessary to fulfil the purposes described in our Privacy Policy.
7. Termination
You may stop using Talk Machine at any time. You can delete your account by contacting us at contact@talkmachine.com.
We may suspend or terminate your access to the Services if:
- You breach these Terms;
- Your use poses a risk to us or other Users;
- Required by law or a regulatory authority.
Termination won't affect any rights or responsibilities that existed before the termination date.
8. Disclaimers
Talk Machine is provided "as is" and "as available." We make no guarantees that the Service will be uninterrupted, error-free, or suitable for your specific needs. AI-generated outputs including transcriptions, translations, and summaries may contain errors. You are responsible for reviewing and verifying any AI-generated content before relying on it.
To the fullest extent permitted by law, Talk Machine Ltd disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We're not responsible for:
- User-generated content;
- Third-party services or websites linked in the app;
- Any damages resulting from unauthorized access to your account.
9. Limitation of Liability
Subject to clause 9.1, Talk Machine Ltd's total liability to you for any and all claims, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with your use of the App or Services, shall be limited to the total fees paid by you (if any) to the Company in the twelve (12) months preceding the event giving rise to the claim.
In no event shall the Company be liable to you for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the App or Services, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if the Company has been advised of the possibility of such damages.
9.1 Exceptions to Limitations
The limitations and exclusions of liability set forth in this section shall not apply to liability arising from:
- Death or personal injury caused by the Company's negligence;
- Fraud or fraudulent misrepresentation; or
- Any other liability that cannot be excluded or limited by applicable law.
Nothing in this Agreement shall affect your statutory rights as a consumer, if applicable.
These limitations apply to Talk Machine Ltd, its affiliates, officers, directors, employees, and agents, and shall survive the termination or expiration of this Agreement.
10. Service Modifications
We reserve the right to modify, update, suspend, or discontinue any part of the Services (including specific features, integrations, or third-party AI providers) at any time, with or without notice. This includes the right to add, change, or remove AI-powered features or to replace one third-party service provider with another.
Where a modification materially reduces the functionality of the Services, we will make reasonable efforts to notify you in advance.
We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services or any part thereof, except where such liability cannot be excluded by applicable law.
Your continued use of the Services following any modification constitutes your acceptance of the modified Services.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll let you know by posting an update in the app or emailing you.
Continued use of the Services after the update means you accept the new Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
